California Statement of Information (SOI)

Understanding the California Statement of Information:

The California Statement of Information is crucial to ensuring your business entity complies with state regulations. This report provides the California Secretary of State with updated information about your business, including details on officers, directors, and business addresses. It is a report updating the Secretary of State on your business's current status and operations.

What Is a California Statement of Information?

The California Statement of Information, also known as the California Annual Report or California Biennial Report, is a mandatory filing for certain registered business entities in California. This report is essential for informing the state about your business's ongoing activities and details.

    Who Needs to File?

The requirement to file a California Statement of Information applies to various types of business entities registered in California, including:

    • Limited Liability Companies (LLCs): All LLCs operating in California must submit this report.
    • Corporations: Corporations registered in California are also required to file.
    • Religious Organizations, Nonprofits, and Cooperatives must comply if registered to do business in the state.

Additionally, newly formed business entities must file their initial Statement of Information with the Secretary of State within 90 days of formation or registration.

    • The Statement of Information must be filed once every two years for California LLCs and Nonprofits. The filing is due by the last day of the month the LLC was initially formed.
    • For California Corporations, the Statement of Information must be filed annually by the last day of the month in which the corporation was incorporated.
